TERMS AND CONDITIONS

Introduction

These terms and conditions (the “Terms”) govern all purchases made by consumers and non-consumers (the “Customer”) through the Seller's online store (the “Store”), for the purchase of the products offered for sale by the Seller (the “Products”).

The Store sells solid-wood furniture and beds to customers located in the countries the Seller ships to, as listed on the Store's shipping page. This is a general, international version of the Terms; it does not refer to the law of any single country. Where a Customer is a consumer habitually resident in a European Union member state (or another country with equivalent mandatory consumer-protection rules), the mandatory consumer-protection provisions of that country's law apply in addition to, and prevail over, anything in these Terms to the extent they are more favourable to the consumer, regardless of the governing law chosen in clause 14 below.

2. Definitions

       “Consumer”: a natural person acting for purposes outside their trade, business, craft or profession.

       “Business Customer”: a natural or legal person acting for purposes within their trade, business, craft or profession.

       “Customer”: anyone placing an Order through the Store, whether a Consumer or a Business Customer.

       “Product(s)”: any furniture, bed, accessory or service offered for sale on the Store.

       “Order”: the Customer's request to purchase one or more Products through the Store.

       “Customer Account”: the Customer's personal account on the Store, where their details and order history are held.

3. Products

The Products offered for sale are those shown on the Store at the time of browsing, subject to availability. Each Product is accompanied by a description setting out its main characteristics (dimensions, materials, finish, and indicative production and delivery times).

Photographs and graphic representations of the Products are provided for illustration only and are not contractually binding. The Seller takes reasonable care to present the Products as accurately as possible; the Seller shall not be liable for any obvious error or for a Product becoming unavailable.

Certain Products may be manufactured or customised at the Customer's request (dimensions, colour, bespoke finish). This is indicated on the relevant product page and has the consequences described in clause 9.5 below.

4. Prices

Prices are shown in the currency displayed on the Store, inclusive of applicable taxes, exclusive of delivery charges. Delivery charges are disclosed before the Order is finally confirmed and are set out in the order confirmation.

The Seller may change its prices at any time; the price applicable to an Order is the price shown at the time the Order is confirmed.

A quantity discount may automatically apply to Orders containing several Products from the “Beds” or “Mattresses” categories, according to the terms and scale published on the Store at the time of the Order. Where an Order that benefited from such a discount is subsequently cancelled under the right of withdrawal, withdrawal may only be exercised for the Order as a whole, unless stated otherwise on the Store.

5. Placing an Order

To place an Order, the Customer must:

1.                select the desired Product(s) and add them to the cart;

2.                review the contents of the cart, including quantity, characteristics and price;

3.                sign in to a Customer Account or continue as a guest, providing the details needed for billing and delivery;

4.                choose a delivery method and a payment method;

5.                read and expressly accept these Terms and the Privacy Policy before confirming the Order;

6.                confirm the Order after checking the order summary (products, price, delivery charges, timing);

7.                complete payment.

The Seller acknowledges receipt of the Order without undue delay by email. The sale is only final once the Seller has sent the Customer confirmation that the Order has been accepted for fulfilment, which follows receipt of payment in full.

The Seller reserves the right to refuse or cancel an Order from a Customer with whom there is an unresolved dispute concerning payment for a previous Order, or where fraud is reasonably suspected.

6. Payment

The Customer may pay for an Order using one of the payment methods offered on the Store, which may include:

       payment card (Visa, Mastercard, Maestro);

       bank transfer;

       instalment payment, subject to approval by the relevant finance partner;

       any other online payment method offered on the Store at the time of the Order.

Online payments are processed securely by specialist third-party payment providers (for example Stripe Payments Europe, Limited, or PayPal (Europe) S.à r.l. et Cie, S.C.A., depending on which providers are actually integrated into the Store). The Seller never has access to the Customer's full card details.

The price is payable in full at the time of the Order unless instalment payment has been expressly agreed. If payment by card is not successfully completed within 3 calendar days, the Order may be automatically cancelled.

Where a refund is due in respect of a card payment, it will be made to the account associated with the card used for the original transaction.

7. Delivery

Products are delivered to the address given by the Customer when placing the Order, using the delivery method chosen (courier with kerbside/doorstep drop-off, courier with carry-in service, or collection by appointment, where offered). Delivery terms and charges are set out on the Store.

Delivery times are indicative and shown on each product page and at the time of the Order. Unless stated otherwise, the Seller undertakes to deliver the Product within a maximum of 30 days from the conclusion of the contract.

Where delivery is delayed, the Consumer may give the Seller a reasonable additional period in which to deliver and, if delivery still does not take place, may terminate the contract, subject to the mandatory consumer-protection law of the Consumer's country of habitual residence.

The Customer should check the condition of the goods on delivery and promptly raise any clear and specific reservations with the carrier, and notify the Seller as soon as possible.

8. Right of Withdrawal

Consumers in the European Union benefit, at a minimum, from the 14-day withdrawal period set out in Directive 2011/83/EU on consumer rights, as implemented in their country of residence, running from receipt of the Product (or of the last Product, where an Order is delivered in several parts), without needing to give any reason.

As a mark of goodwill towards its customers, the Seller voluntarily extends this period to 100 calendar days from receipt of the Product, wherever this is not already the minimum required by local law. This contractual extension does not affect the statutory minimum applicable under local law; it is added on top of it, solely for the Consumer's benefit.

8.1 How to withdraw

The Consumer informs the Seller of the decision to withdraw by a clear statement sent to office@niziohome.com or by post to the Seller's address (clause 1). The Consumer may, but need not, use the model withdrawal form in Annex 1.

8.2 Effects of withdrawal

The Seller will reimburse all payments received, including standard delivery costs, without undue delay and, in any event, within 14 days of being informed of the decision to withdraw, using the same means of payment the Consumer used for the original transaction, unless the Consumer has expressly agreed otherwise and incurs no fees as a result of such agreement. The Seller may withhold reimbursement until it has received the Product back, or the Consumer has supplied evidence of having sent it back.

The Consumer must send the Product back without undue delay and, in any event, within 14 days of communicating the decision to withdraw. The direct cost of returning the Product is borne by the Consumer, unless the Seller has agreed to bear it or failed to inform the Consumer that they must bear it.

The Consumer is liable for any diminished value of the Product resulting from handling beyond what is necessary to establish its nature, characteristics and functioning.

8.3 Exceptions to the right of withdrawal

As is generally the case under EU consumer law, the right of withdrawal does not apply to, among others:

       goods made to the Customer's specifications or clearly personalised (for example, furniture made to order to the Customer's chosen dimensions, wood type or finish);

       goods liable to deteriorate or expire rapidly;

       sealed goods which are not suitable for return for health or hygiene reasons and which have been unsealed after delivery.

This list is not exhaustive; the full set of exceptions under the applicable consumer-protection law of the Consumer's country of residence applies.

9. Legal Guarantee and Commercial Warranty

9.1 Legal guarantee of conformity

Consumers in the European Union benefit, at a minimum, from the guarantee of conformity set out in Directive (EU) 2019/771 on the sale of goods, as implemented in their country of residence. In general terms, this means the Seller is liable for any lack of conformity that exists at the time of delivery and becomes apparent within 2 years of delivery.

If a defect becomes apparent within the first 12 months after delivery, it is, in general, presumed to have existed at the time of delivery, unless this is incompatible with the nature of the Product or the defect; during that period the burden of proof lies with the Seller. Where a defect becomes apparent later, it is for the Consumer to show that it existed at delivery.

Where there is a lack of conformity, the Consumer is generally entitled to have the Product repaired or replaced, free of charge, at the Consumer's choice, unless the remedy chosen is impossible or disproportionate compared with the other. If neither repair nor replacement is possible, or is not provided within a reasonable time, the Consumer may instead be entitled to a proportionate price reduction or to terminate the contract.

The exact scope, time limits and remedies of this legal guarantee are governed by the mandatory consumer-protection law of the Consumer's country of habitual residence, which prevails over this clause to the extent it is more favourable to the Consumer.

9.2 Business Customers

For purchases made by a Business Customer, the legal guarantee described above does not apply; instead, the ordinary rules on liability for defects under the governing law referred to in clause 14 apply, including any applicable notice periods and limitation periods.

9.3 Commercial warranty

Certain Products come with a voluntary 10-year commercial warranty from the manufacturer, the terms, duration and conditions of which are set out on the relevant product page and/or in the warranty certificate supplied with the Product. This commercial warranty applies in addition to, and does not affect, the legal guarantee described above, which always applies free of charge regardless of whether a commercial warranty has also been given.

9.4 How to make a claim

To exercise these rights, the Customer should notify the Seller in writing of the lack of conformity or defect, before returning the Product, using the contact details in clause 1. It is recommended to include a description of the defect, the date it was noticed and, if possible, photographs.

10. Liability

The Seller shall not be liable for failure to perform the contract due to a Product being out of stock, force majeure, total or partial disruption to postal or transport services, or a malfunction of the Store caused by a third party or by the Customer's technical infrastructure.

The Seller shall not be liable for damage resulting from use of a Product contrary to its instructions, its normal intended use, or the assembly guidance provided with it.

11. Personal Data

The processing of Customers' personal data is described in the Store's Privacy Policy, which forms an integral part of these Terms.

12. Intellectual Property

All elements of the Store (text, images, logos, structure, database, graphic elements, etc.) are the exclusive property of the Seller or its partners and are protected by copyright, trade mark law and intellectual property law generally. Any reproduction, representation or use, in whole or in part, without prior written consent, is strictly prohibited.

13. Complaints and Dispute Resolution

If a Consumer has a complaint, they are encouraged to contact the Seller's customer service first, in writing, using the details in clause 1, so that the Seller can try to resolve the matter directly.

Consumers resident in the European Union may also be entitled, under the law of their country of residence, to refer an unresolved dispute to a national out-of-court consumer dispute resolution (ADR) body. Details of the ADR body or bodies competent for a given Consumer's country of residence are generally available from that country's national consumer protection authority or from the European Consumer Centres Network (ECC-Net).

The European Commission's Online Dispute Resolution (ODR) platform (previously available at ec.europa.eu/consumers/odr) permanently ceased operating on 20 July 2025 under Regulation (EU) 2024/3228 and is no longer available; it is not referred to as a means of contacting the Seller.

14. Governing Law and Jurisdiction

These Terms are drawn up in English. Where these Terms are translated into another language, the English version prevails in the event of any inconsistency, save where local law requires the local-language version to prevail for consumers in that country.

These Terms are governed by Polish law. Where the Customer is a Consumer habitually resident in a country whose law provides a higher level of consumer protection than Polish law, the mandatory consumer-protection provisions of the law of that country apply in addition to, and prevail over, any conflicting provision of these Terms, in accordance with Article 6 of Regulation (EC) No 593/2008 (“Rome I”) or the equivalent private international law rules applicable in the Consumer's country of residence.

Failing an amicable resolution, including through ADR, any dispute relating to the formation, performance or interpretation of these Terms shall be brought before the competent courts under the ordinary rules of jurisdiction; a Consumer may, in any event, bring proceedings before the courts of the country in which they are domiciled, where mandatory law so provides.

15. Changes to these Terms

The Seller may amend these Terms at any time. The Terms applicable to an Order are those in force at the time the Order is placed. Changes do not affect Orders already confirmed.
